NOCTIS — End User License Agreement

Version 1.0 — Effective Date: 2026-06-28

1. License Grant

NOCTIS (“the Software”) is licensed, not sold. By installing or using the Software, you agree to the terms of this EULA. NOCTIS grants you a non-exclusive, non-transferable, revocable license to use the Software in accordance with your purchased plan (Free, Pro, or Team).

2. Permitted Use

Free Tier: You may use the Software for personal, non-commercial purposes with up to 3 database connections and limited features.
Pro Tier: You may use the Software for commercial purposes with unlimited connections and all Pro features. The license is bound to one machine.
Team Tier: Includes all Pro features plus team sharing and scheduled queries. The number of seats is determined by your purchase.

3. Restrictions

You may NOT:

Reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law.
Modify, adapt, or create derivative works of the Software.
Distribute, sublicense, lease, rent, or lend the Software to third parties.
Remove or alter any copyright, trademark, or other proprietary notices.
Use the Software in violation of any applicable law or regulation.
Bypass or circumvent the licensing or feature-gating mechanisms.

4. Intellectual Property

The Software and all associated intellectual property rights are owned by NOCTIS. This EULA does not grant you any rights to the Software’s source code, trademarks, or trade secrets.

5. Data and Privacy

The Software stores your database connection credentials locally on your machine in an encrypted format. NOCTIS does not collect, transmit, or store your database credentials, query results, or schema data. See our Privacy Policy for details.

6. Disclaimer of Warranty

The Software is provided “AS IS” without warranty of any kind. NOCTIS disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

In no event shall NOCTIS be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of data, profits, or business interruption, arising out of or in connection with the use of or inability to use the Software.

8. Termination

This EULA is effective until terminated. NOCTIS may terminate this EULA immediately if you breach any term. Upon termination, you must destroy all copies of the Software.

9. Changes to the EULA

NOCTIS reserves the right to modify this EULA at any time. Continued use of the Software after changes constitutes acceptance of the new terms.
